Terms of Service

Introduction.

By using bookkeepy ("BookKeepy" or the "Service"), you (which term includes, where you are agreeing on behalf of one or more other individuals or a partnership or company or other legal entity, those individuals and that partnership, company or other legal entity) are agreeing with us to be bound by the following terms and conditions ("Terms of Service"). If you do not wish to accept the terms, then you must not use the Service.

Your Representations; Indemnification.

You warrant that:
a) If you are an individual, you are at least 18 years of age with full capacity to enter into the Terms of Service;
b) If you are entering into the Terms of Service on behalf of one or more other individuals or a partnership or company or some other form of legal entity, you are authorised and the individuals, partnership, company or other legal entity has full legal capacity and authority to enter into the Terms of Service.

An individual, partnership, company or some other form of legal entity may only have one free account.

A valid email account is required to register for a free account. An email address can only be registered once for a single free account.

You agree to indemnify and hold us harmless against any and all expenses and losses of any kind arising in any way as a consequence of a breach by you of this warranty.

Client Data.

Although we own the data storage, databases and all rights to BookKeepy, we will never sell or share your client data with any third-parties, or contact your clients directly. We will also not utilise your data in our databases to market to your clients, advertise to, or contact them for any other means of profit. We respect the privacy of our subscribers, and the privacy of their client data, and have an established privacy policy published on our website.

Fees for Paid Subscriptions.

You will be charged by credit card for use of an BookKeepy paid subscription. Payment will be charged before the Service will be made available online. The first payment must be made online by credit card and payments will thereafter be automatically billed each month. In the event of any failure by you to make payment or arrange a credit card with available credit, your access to the Service will be removed until an appropriate payment method is available.

Transaction Levels.

A level of transactions allowed per month is chosen when purchasing the Automated Recurring Billing package.

Renewal.

Renewal of the Service and acceptance of any additional orders will be at our sole discretion. Pricing for any renewal period is subject to change by us from time to time. Renewal of the term will be continued automatically, unless you cancel service, in accordance with the Cancellation Terms.

No Assignment or Resale of Software.

You may not resell, re-use, assign or transfer any of the images, data or programming code created for or associated with BookKeepy without our written consent, which we may grant or withhold at our absolute discretion. Any attempt to resell, assign or transfer such data will result in immediate termination of the Service, without liability to us.

Limitation of Liability.

You acknowledge and agree that you are using the Service on an "as is" basis. You further acknowledge your use of the Service is at your own risk. You acknowledge that we do not accept any liability for any loss incurred by you from using the Service. You further acknowledge that we have made no representation about the Service upon which you have relied. In no event will we, our agents or associates be liable for any damages whatsoever (including without limitation damages for loss of profits, business interruption, loss of information, or any other pecuniary loss) arising from your use or inability to use the Service, even if we or our agents or associates have been advised of the possibility of such damages. Without limiting the generality of the foregoing, none of us, our agents or officers, shareholders or associates is responsible for any consequences caused by the collection and use by the Service. To the maximum extent permitted by applicable law, all warranties (express or implied) are hereby excluded.

Provision of Equipment and Internet Access.

You are responsible at your sole cost and expense for the provision of all necessary equipment and suitable internet access to use the Service.

Right to Reject Client.

All contents of the Service are subject to our approval. We reserve the right to reject or cancel any client, at any time.

Cancellations.

You must contact us before the next billing period to cancel the Service. You will not be billed for any cancellation, and there are no term commitments. No refunds will be made on services already paid for, and service fees will not be prorated. Additionally, any setup fees charged will not be refunded.

Construction.

No conditions other than those set forth in the Terms of Service will be binding on us unless expressly agreed to in writing by us.

Miscellaneous.

The Terms of Service:
(i) are to be governed by and construed in accordance with, the laws of the United Kingdom, without giving effect to the principles of conflicts of law;
(ii) may be amended only by a written agreement executed by an authorised representative of each party; and
(iii) constitute the complete and entire expression of the agreement between the two parties and supersede any and all other agreements, whether written or oral, between the parties.
